Terms of Service

Grounded is an AI-powered general wellness and mental wellbeing companion intended to provide reflective conversation, coping tools and emotional support guidance including but not limited to emotional awareness, stress management, mindfulness, journaling, and personal growth.

Grounded is not a healthcare provider, licensed therapist, psychologist, psychiatrist, medical device, crisis service, or emergency response provider.

The Service does not provide:

• Medical advice
• Mental health diagnosis
• Clinical treatment
• Psychotherapy
• Psychiatric services
• Crisis counseling
• Emergency intervention
• Suicide prevention services
• Medical monitoring

The Service is intended solely for general wellness, self-reflection, and informational support purposes. No content generated by the Service should be interpreted as medical, psychological, legal, or professional advice. Always seek the guidance of a qualified healthcare professional regarding any medical or mental health condition.

Grounded is not designed or monitored for crisis situations or emergencies.

DO NOT use the Service if you may be in danger of harming yourself or others, or if you are experiencing a medical or psychiatric emergency.

You acknowledge and agree that Grounded Technologies LLC has no duty to monitor, assess, respond to, or intervene in emergency, crisis, or high-risk situations.

You must be at least thirteen (13) years old to use the Service. If you are between thirteen (13) and seventeen (17) years old, you may use the Service only with the consent and supervision of a parent or legal guardian.

By using the Service, you represent and warrant that:

• You meet the eligibility requirements in these Terms;
• You have the legal capacity to enter into this agreement; and
• Your use of the Service complies with all applicable laws and regulations.

The Service is not intended for children under the age of 13.

To access certain features, you may be required to create an account. We may collect and store your email address, account login information, and subscription status. We do not store chat conversations on our servers. Limited conversation memory may be stored locally on your device to improve user experience. You are responsible for maintaining the confidentiality of your account credentials.

Certain features of the Service may require you to create an account.

You agree to:

• Provide accurate and current registration information;
• Maintain the confidentiality of your login credentials;
• Notify us immediately of any unauthorized access to your account; and
• Accept responsibility for activities occurring under your account.

We reserve the right to suspend or terminate accounts that contain false information, violate these Terms, or create security or legal risks.

The Service uses artificial intelligence and machine learning systems to generate conversational responses and wellness-related content. When you use the chat features, your messages are transmitted to our third-party AI provider, OpenAI, solely to generate a response. This data is used only to provide the functionality of the Service and is not sold or used for advertising purposes.

Grounded does not guarantee the accuracy, reliability, suitability, or effectiveness of any AI-generated output.

You are solely responsible for your use of the Service and any decisions, actions, or outcomes resulting from your interactions with the Service. You agree that you will not:

• Rely on the Service as a substitute for professional healthcare or mental health treatment
• Use the Service for unlawful, harmful, abusive, fraudulent, or deceptive purposes
• Submit content that violates the rights of others
• Attempt to interfere with, disrupt, reverse engineer, scrape, or exploit the Service
• Use automated systems or bots to access the Service
• Use the Service in a manner that could harm other users or third parties

You understand that emotional wellness tools may not be appropriate for every individual or circumstance.

You may provide text, prompts, messages, journal entries, feedback, or other content through the Service ("User Content"). You retain ownership of your User Content. However, by using the Service, you grant Grounded a limited, non-exclusive, worldwide license to process, transmit, and use User Content solely as necessary to operate, maintain, secure, and improve the Service.

You represent and warrant that you own or have the necessary rights to your User Content and that your User Content does not violate any law or third-party rights.

Grounded may use third-party service providers, including artificial intelligence providers such as OpenAI, to process user inputs and generate responses. When you use AI chat or conversational features, your prompts and messages may be transmitted to third-party AI providers solely to generate responses and operate the Service. Such processing is subject to applicable provider terms and privacy practices. We do not sell user conversations for advertising purposes, and we do not use your conversations or other user content to train or develop artificial intelligence models. Grounded accesses OpenAI through its commercial API, and data submitted through the OpenAI API is not used by OpenAI to train its models.

While we implement reasonable safeguards, no electronic system or transmission can be guaranteed completely secure.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy carefully to understand how we collect, use, disclose, and safeguard your information.

Certain features may require a paid subscription, including "Grounded Pro." If you purchase a subscription through the Apple App Store or another third-party platform, billing, renewals, and cancellations are handled by the applicable platform provider. Subscription fees may automatically renew unless canceled before the renewal date. We do not directly store complete payment card information. Pricing and subscription features may change at any time to the extent permitted by law.

Except where required by applicable law, fees are non-refundable.

The Service, including its software, design, branding, logos, interfaces, text, graphics, and content, is owned by Grounded Technologies LLC or its licensors and is protected by intellectual property laws.

Subject to these Terms, we grant you a limited, non-transferable, revocable, non-exclusive license to access and use the Service for personal, non-commercial use. You may not copy, reproduce, distribute, modify, or create derivative works from the Service, use our trademarks without written permission, or exploit the Service for commercial purposes without authorization.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. GROUNDED TECHNOLOGIES LLC DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND SECURITY.

We do not guarantee that the Service will be uninterrupted, error-free, secure, or free from harmful components.

TO THE FULLEST EXTENT PERMITTED BY LAW, GROUNDED TECHNOLOGIES LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, PERSONAL INJURY, OR EMOTIONAL DISTRESS, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICE SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO USE THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you. We do not guarantee uninterrupted access, error-free performance, or specific outcomes.

You agree to defend, indemnify, and hold harmless Grounded Technologies LLC and its affiliates, officers, employees, contractors, licensors, and agents from and against any claims, liabilities, damages, judgments, losses, expenses, or costs, including reasonable attorneys' fees, arising from your use or misuse of the Service, your violation of these Terms, your violation of applicable laws, or your infringement of any third-party rights.

PLEASE READ THIS SECTION CAREFULLY. Except where prohibited by law, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively through final and binding arbitration on an individual basis.

You waive the right to a jury trial, the right to participate in a class action lawsuit, the right to participate in class-wide arbitration, and the right to bring representative claims.

Arbitration shall be administered under applicable arbitration rules in the state where Grounded Technologies LLC is organized, unless otherwise required by law.

We may suspend, restrict, or terminate your access to the Service at any time, with or without notice, if you violate these Terms, we believe your use creates legal, regulatory, or security risks, or we discontinue the Service. You may stop using the Service at any time.

Upon termination, provisions that by their nature should survive termination shall remain in effect, including limitation of liability, indemnification, arbitration, and intellectual property provisions.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We may update these Terms periodically. Updated Terms become effective when posted unless otherwise stated. Your continued use of the Service after revised Terms are posted constitutes acceptance of the updated Terms.

These Terms shall be governed by and construed in accordance with the laws of the state in which Grounded Technologies LLC is organized, without regard to conflict of law principles.

If any provision of these Terms is found unenforceable or invalid, the remaining provisions shall remain in full force and effect.

These Terms, together with the Privacy Policy and any additional policies incorporated by reference, constitute the entire agreement between you and Grounded Technologies LLC regarding the Service and supersede all prior agreements or understandings.
